Please read these Terms of Use (“Terms”) carefully before using the Keepthat mobile application (the “App”) and any related services (collectively, the “Service”) operated by Keepthat (“we,” “us,” “our,” or the “Company”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
By accessing or using the Service, you represent and warrant that you:
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Keepthat is a knowledge retention application that allows users to:
The Service relies on artificial intelligence and third-party services to function. While we strive to provide accurate and reliable outputs, we make no guarantees regarding the accuracy, completeness, or reliability of AI-generated content (see Section 9).
To use the Service, you must create an account using Sign in with Apple or email/password registration. You agree to provide accurate, current, and complete information during registration.
You are responsible for:
We are not liable for any loss or damage arising from your failure to protect your account credentials.
Each user may maintain only one account. We reserve the right to terminate duplicate accounts.
The Service offers a free tier with limited functionality and a Pro subscription tier with enhanced features. Details of each tier’s features and limitations are available within the App.
We reserve the right to change subscription prices. Any price changes will take effect at the start of the next billing cycle following notice of the change. Your continued use of the Service after a price change constitutes your acceptance of the new price.
Refund requests are handled by Apple in accordance with their refund policies. We do not issue refunds directly. To request a refund, please contact Apple Support or visit reportaproblem.apple.com.
If offered, free trials automatically convert to paid subscriptions at the end of the trial period unless canceled at least 24 hours before the trial expires. Any unused portion of a free trial is forfeited upon purchasing a subscription.
“User Content” means any content you submit, upload, or transmit through the Service, including URLs, text, facts, tags, categories, and quiz responses.
You retain ownership of any original content you create within the Service (such as custom facts or notes). However, you acknowledge that:
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your content or account, except as required for backup retention or legal obligations.
You agree not to submit content that:
We do not actively monitor User Content but reserve the right to review and remove content that violates these Terms or applicable law. We are not responsible for any User Content stored in or processed through the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
The Service, including its design, features, functionality, software, algorithms, user interface, trademarks, logos, and documentation, is owned by or licensed to Keepthat and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Service as provided herein.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a device you own or control for your personal, non-commercial use.
The Service processes content from third-party websites and sources at your direction. We do not claim ownership of third-party content and are not responsible for the accuracy, legality, or availability of such content. You are solely responsible for ensuring you have the right to process any content you submit.
The Service integrates with and relies on third-party services, including but not limited to Supabase (infrastructure), Anthropic (AI processing), and Apple (authentication, payments, notifications). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, performance, or practices of third-party services.
Important: The Service uses artificial intelligence to extract facts from content and generate quiz questions. AI-generated outputs may contain inaccuracies, errors, omissions, or misrepresentations of the source material.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KEEPTHAT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
You acknowledge and agree that your use of the Service is at your sole risk. You are solely responsible for any decisions made based on content obtained through the Service.
You agree to indemnify, defend, and hold harmless Keepthat, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
Features available in the Free or Pro tiers may change over time. We reserve the right to add, remove, or modify features of any tier. We will make reasonable efforts to notify users of material changes.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ceases immediately.
You may terminate your account at any time by deleting your account through the App settings. Upon account deletion, all your data will be permanently removed from our servers (subject to backup retention periods). Active subscriptions must be canceled separately through Apple.
Sections 5.3 (License Grant, for content submitted prior to termination), 7 (Intellectual Property), 9 (AI Disclaimer), 10 (Disclaimers and Limitation of Liability), 11 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) shall survive any termination of these Terms.
While we implement reasonable measures to protect your data, we are not responsible for any loss, corruption, or destruction of User Content. You are encouraged to export your data regularly (available to Pro subscribers) and maintain your own backups.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. This choice of law applies regardless of your country of residence.
Before initiating any formal dispute resolution, you agree to first contact us at support@keepthat.app and attempt to resolve the dispute informally for at least 30 days.
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND KEEPTHAT AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keepthat regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any term shall not be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, strikes, power outages, internet or telecommunications failures, cyberattacks, or third-party service outages.
We may provide notices to you through the App, via email to the address associated with your account, or through other reasonable means. You may provide notices to us by email at support@keepthat.app.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or through other reasonable means. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
